These Terms of Service ("Terms") govern your access to and use of the website at fluxum.tools and the software products operated by Fluxum Technologies Inc. ("Fluxum," "we," "us," or "our"), a Canadian corporation with its registered office at 34 Coulson Ave., Unit B, Toronto, Ontario M4V 1Y5, Canada.
By accessing or using any Fluxum product, including Scatterbrainz at app.scatterbrain.tech, you agree to be bound by these Terms. If you do not agree, do not use the products.
Plain-English summary: Use Fluxum products lawfully. Don't try to break them. We may suspend accounts that abuse the service. We can change plans and prices with notice. We're not responsible for outcomes you get from advice or actions our AI assistants take with your approval — you're the operator.
1. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at the contact below if you believe your account has been compromised.
2. The Services
Fluxum builds AI-assisted software products for business teams. The flagship product, Scatterbrainz, is a multi-project tracker for founders and small teams that includes built-in AI assistants for marketing, finance, operations, and engineering oversight. Some Fluxum products integrate with third-party services that you connect — for example, Stripe for payments, Google Ads for advertising, Resend for email, Twilio for SMS, Mattermost for team chat, and others. We will display the integrations available inside each product.
3. Acceptable Use
You agree not to:
- use the products to violate any applicable law or regulation;
- infringe or misappropriate the intellectual property or privacy rights of others;
- send unsolicited bulk messages (spam) through any integrated email, SMS, or messaging channel;
- interfere with or disrupt the services or attempt to gain unauthorized access to any system or account;
- reverse engineer, decompile, or attempt to extract source code from any Fluxum product, except where applicable law permits;
- use the products to develop a competing service through scraping, model training, or systematic reproduction of features.
4. Subscriptions, Credits, and Billing
Some Fluxum products are offered on subscription or credit-based plans. By starting a paid plan you authorize us, through our payment processor Stripe, to charge the payment method on file according to the plan you selected. Subscriptions renew automatically until canceled. You can cancel at any time from inside the product; cancellation takes effect at the end of the current billing period.
Credits purchased for top-up are non-transferable. Unused credits may carry over month-to-month according to the plan rules displayed inside the product. We may change plan pricing or features with at least 30 days' notice for active subscribers.
5. AI Assistants and Approved Actions
Our products include AI assistants ("agents") that can take actions in connected systems on your behalf. Examples include the Aria CMO agent inside Scatterbrainz, which can read Google Ads metrics and execute campaign management actions in Google Ads when you explicitly approve them.
You understand and agree that:
- every write action by an agent requires your explicit in-app approval before it is executed;
- you remain the operator of any connected account and are responsible for the actions taken under your approval;
- AI-generated recommendations, copy, diagnostics, and strategy are provided as suggestions only and do not constitute investment, legal, tax, or marketing advice;
- you are responsible for reviewing all AI output before relying on it and for ensuring that any campaign content complies with the policies of the connected platform (such as Google Ads policies);
- we are not liable for the outcomes of approved actions, including but not limited to ad spend, campaign performance, or downstream business effects.
6. Third-Party Services
When you connect a third-party service to a Fluxum product (Google Ads, Stripe, Resend, Twilio, Mattermost, and similar), your use of that service remains subject to the third party's own terms and privacy policy. We are not responsible for third-party services, and they may change their terms, APIs, or availability at any time.
7. Your Content
You retain all rights to the content you submit to our products (projects, deliverables, copy drafts, chat messages, share-link snapshots, and similar). You grant Fluxum a limited, worldwide, royalty-free license to host, process, transmit, and display your content solely as necessary to operate, secure, and improve the products you use. We will not sell your content or use it for advertising-targeting purposes.
8. Our Intellectual Property
The Fluxum products, including the design, code, brand marks, and content we author, are owned by Fluxum Technologies Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the products as permitted under these Terms.
9. Suspension and Termination
We may suspend or terminate your access to a Fluxum product if you breach these Terms, present a security or abuse risk, or fail to pay amounts due. You may stop using the products at any time. Sections that by their nature should survive termination will survive (including without limitation: ownership, disclaimers, limitations of liability, indemnification, and dispute resolution).
10. Disclaimers
The products are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Fluxum disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the products will be uninterrupted, error-free, or secure, or that they will produce any particular business outcome.
11. Limitation of Liability
To the maximum extent permitted by law, Fluxum and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, business interruption, or ad spend losses, arising out of or related to your use of the products, even if we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or related to these Terms or your use of the products will not exceed the greater of (a) the amount you paid to Fluxum for the product in the 12 months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD 100).
12. Indemnification
You will indemnify and hold harmless Fluxum and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the products in violation of these Terms or applicable law; (b) content you submit; (c) your connected third-party accounts; and (d) actions taken by AI agents on your behalf that you approved.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration shall be the courts located in Toronto, Ontario.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when revisions were made. Material changes will be communicated through the product or by email to your account address. Continued use of the products after changes take effect constitutes your acceptance of the revised Terms.
